Vine Contest Rules
The "Tribeca Film Festival #6SECFILMS" Contest is intended for participation only in the United States and shall be construed according to, and governed exclusively by, United States law. You may not participate in the Sweepstakes if you are not a legal resident of the United States physically located in the United States at the time of entry or do not fall within the eligibility requirements set forth in the Official Rules below.
The "Tribeca Film Festival #6SECFILMS" Contest
NO PURCHASE NECESSARY. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.
PROMOTION DESCRIPTION: The "Tribeca Film Festival #6SECFILMS" Contest (the "Contest") begins on or about March 18, 2013 at 12:00:01pm ET and ends on April 7, 2013 at 11:59:59pm ET. (the "Entry Period"). During the Entry Period, create and post at least one (1) wholly original "Vine" via your authorized Twitter account with the hashtag "#6SECFILMS" and a second hashtag identifying the category you wish that Vine to compete in, all as more fully described below (each, a "Submission"). At the end of the Entry Period, a panel of judges will review all Submissions and select semi-finalists for each category, as more fully set forth below. Each semi-finalist will be contacted to verify their eligibility. After all eligible semi-finalists have been identified, a panel of celebrity judges will select a winning Submission from each category. Entry in the Contest does not constitute entry into any other promotion, contest or sweepstakes. By participating in the Contest, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Tribeca Film Festival NYC, LLC, 375 Greenwich Street, New York, New York 10013 ("Sponsor") and Sponsor's designated independent judges, which shall be final and binding in all respects.
ELIGIBILITY: Only legal U.S. residents of the fifty (50) United States, and the District of Columbia, who, at the time of entry, are 1) located in the U.S., 2) are eighteen (18) years of age or older, 3) have an authorized individual account with Twitter, and 4) have an authorized individual account with Vine are eligible to enter. Sponsor, Twitter, Inc., Vine Labs, Inc. and each of their respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies and any other individual or company involved in the development or execution of the Contest and each of their respective officers, directors, agents and employees (collectively, with Sponsor, the "Promotion Entities"), and each of their immediate family members and/or people living in the same household are NOT eligible to enter the Contest or win a prize. Sponsor reserves the right to verify eligibility qualifications of the semi-finalists and/or the winners. No group entries. This Contest is void where prohibited.
HOW TO ENTER:
To enter the Contest, visit www.tribecafilm.com/vine-contest-rules, read these Official Rules. Then use your enabled wireless device access your authorized account associated with the Vine app ("Vine") and follow the instructions to create a Vine video (taking into account the Submission Requirements below). Next, post the Vine video to your authorized account associated with the URL https://twitter.com with the hashtag #6SECFILMS followed by one of the following hashtags -- #GENRE, #AUTEUR, #ANIMATE, #SERIES – depending on the category in which you wish to enter your Vine. Finally, follow (or make sure you are following) Sponsor's branded Twitter account (@TribecaFilmFest) from your authorized Twitter account. Upon posting the Vine video to your Twitter account with the applicable hashtags and following Tribeca Film Festival on Twitter, your Submission will automatically be entered.
Each Submission that is entered into the Contest must meet the following "Submission Requirements" (any Submission that, in Sponsor's sole and absolute discretion, violates the following criteria will be disqualified):
(a) the Submission must not be longer than one (1) Vine video, six (6) seconds in duration (unless you are submitting in the "Series" category, in which the Submission must not be longer than three (3) Vine videos, each six (6) seconds in duration);
(b) the Submission must be the submitting entrant's original, previously unpublished work and not contain any third party copyrighted material, nor any obscene, defamatory or illegal material; and
(c) the entrant should be able to provide on request all appropriate clearances, permissions and releases for the Submission, including releases from all persons referenced to, described in, appearing in the Submission (in the event an entrant cannot provide all required releases, Sponsor reserves the right, in Sponsor's sole discretion, to disqualify the applicable Submission, or seek to secure the releases and clearances for Sponsor's benefit, or allow the applicable Submission to remain in Contest).
Any Submission must be made by the entrant, and only in accordance with the instructions above. Tampering with the entry process or the operation of the Contest, including but not limited to the use of any device to automate the entry process, is prohibited and any entries deemed by Sponsor in its sole discretion, to have been submitted in this manner, will be void. In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor's satisfaction, the affected entry will be deemed ineligible. Sponsor shall not be responsible for incorrect or inaccurate entry information whether caused entrant or by any technical or human error that may occur in the processing of the Submissions. Sponsor assumes no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of Submissions.
WINNER SELECTION AND NOTIFICATION: At the end of the Entry Period, Sponsor will judge all eligible Submissions entered to select up to twenty (20) semi-finalists in each category. Sponsor will judge the Submissions based on the following criteria: creativity, originality, style and capturing the applicable category's theme. No later than April 15, 2013, Sponsor will contact the semi-finalists via their respective authorized Twitter accounts to confirm their eligibility and secure signed releases from their with respect to their Submissions. Beginning on or about April 17, 2013, Sponsor may display all verified semi-finalist Submissions on its Website for public viewing. During this time, Sponsor will assemble a celebrity judging panel to select one (1) winner for each category from among the verified semi-finalists. The celebrity judging panel will judge the semi-finalists using the same criteria as above. On or about April 23, 2013, Sponsor will notify the winners by telephone, e-mail, and/or mail using the contact information provided at the time of verification. In addition, if Sponsor elects, the announcement will also be posted online at the Website. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by the potential winner for any reason. Time is of the essence in verifying each winner and awarding each prize. If, despite reasonable efforts, a potential winner does not respond within twenty-four (24) hours of the first notification attempt, or if the prize notification is returned as undeliverable to such potential winner, such potential winner will forfeit his or her prize and a runner-up winner may be selected. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected. Sponsor may successively attempt to contact up to two (2) potential winner(s) of an applicable prize in accordance with such procedure, and if there is still no confirmed winner(s) of such applicable prize after such attempts have been made, if any, such prize may go unawarded.
PUBLICITY RELEASE: By participating in the Contest, in addition to any other grants which may be granted in any other agreement entered into between Sponsor and any entrant in and/or winner of the Contest, each entrant irrevocably grants to Sponsor and the Promotion Entities and their respective successors, assigns and licensees, the right to use such entrant's name, photograph, likeness, voice, biographical information, and any other personal characteristics, in addition to the entrant's statements, and address (city and state) in any and all media now known or hereafter developed for any purpose, in perpetuity, including without limitation, advertising and promotional purposes as well as in, on or in connection with the Tribeca Film Festival and any programs thereof, the Website or the Contest, and each entrant and/or prize winner hereby release Sponsor and the Promotion Entities from any liability with respect thereto.
REPRESENTATIONS AND WARRANTIES / INDEMNIFICATION: Each person who enters this Contest represents and warrants as follows: (i) the Submission is the entrant's own original, previously unpublished, and previously unproduced work; (ii) the Submission is wholly original with entrant, and as of the date of submission, is not the subject of any actual or threatened litigation or claim; (iii) the Submission does not and will not violate or infringe upon the intellectual property rights or other rights of any other person or entity; and (iv) the Submission does not and will not violate any applicable laws, and is not and will not be defamatory or libelous. Each entrant hereby agrees to indemnify and hold the Promotion Entities harmless from and against any and all third party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations or agreements of entrant hereunder.
PRIZES/ODDS: There are four (4) Grand Prizes available, one (1) per category (i.e., #GENRE, #AUTEUR, #ANIMATE and #SERIES). Each Grand Prize consists of Six Hundred U.S. Dollars (US$600) in cash. The total ARV for all prizes is Two Thousand Four Hundred U.S. Dollars (US$2,400). The Grand Prize/s will be delivered only to an address in the 50 United States and D.C.
GENERAL PRIZE CONDITIONS: Each prize will be awarded only if the applicable potential prize winner fully complies with these Official Rules. Each prize winner shall be solely responsible for all federal, state and/or local taxes, and the reporting consequences thereof, and for any other fees or costs associated with the applicable prize. Each potential winner will be required to execute an Affidavit of Eligibility, a Liability Release, a Form W-9 concerning the Prize and (where legal) a Publicity Release (collectively, "Prize Claim Documents"). If any potential winner fails or refuses to sign and return all relevant Prize Claim Documents within three (3) days of prize notification, the winner may be disqualified and an alternate winner may be selected.
Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished in connection with the Contest.
GENERAL LIABILITY RELEASE/FORCE MAJEURE: Acceptance of a prize constitutes winner's permission for the Promotion Entities to use winner's name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation. Entrants agree that Promotion Entities (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Contest or any Contest-related activity, or from entrants' acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize's quality or fitness for a particular purpose. Sponsor assumes no responsibility for any damage to an entrant's, or any other person's, computer system which is occasioned by participating in the Contest, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due submissions or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Contest or the Website, to be acting in violation of these Official Rules, or to be acting in an unsportsman/unsportswoman-like or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Contest, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted. If a dispute as to the identity of the individual who actually submitted an entry cannot be resolved to Sponsor's satisfaction, the affected entry will be deemed ineligible. Sponsor reserves the right to modify, extend, suspend, or terminate the Contest if it determines, in its sole discretion, that the Contest is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor's control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Contest as contemplated herein. In the event an insufficient number of eligible entries are received and/or Sponsor is prevented from conducting the drawing, awarding prizes or continuing with the Contest as contemplated herein by any event beyond its reasonable control, including but not limited to fire, storm, flood, earthquake, explosion, accidents, public disorders, civil unrest, disease outbreak, sabotage, acts of terrorism, acts of war (declared or undeclared), labor shortages riots or acts of God or public enemy, satellite or equipment failure, order of any court or jurisdiction, or other cause not reasonably within Sponsor's control (each a "Force Majeure" event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the Contest. If the Contest is terminated before the designated end date, Sponsor will (if possible) select the winner from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. Only the type and quantity of prizes described in these Official Rules will be awarded. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
GOVERNING LAW/JURISDICTION: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF NEW YORK WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE'S LAWS.
NO INJUNCTIVE RELIEF: Each entrant understands and agrees that the entrant shall have no right to enjoin or restrain the development, production, advertising, promotion, distribution or exploitation of the Contest or the Tribeca Film Festival, or any other business or project of Sponsor or any of the Promotion Entities.
ARBITRATION PROVISION: By participating in this Contest, each entrant agrees that any and all disputes the entrant may have with, or claims entrant may have against Promotion Entities relating to, arising out of or connected in any way with (i) the Contest, (ii) the awarding or redemption of any prize, and/or (iii) the determination of the scope or applicability of this agreement to arbitrate and/or (iv) specify additional potential claims, will be resolved individually and exclusively by final and binding arbitration administered by the National Arbitration Forum (the "Forum") and conducted before a sole arbitrator pursuant to the Code of Procedure established by the Forum. The arbitration shall be held at a location determined by the Forum pursuant to the Code of Procedure, or at such other location as may be mutually agreed by the participant and Sponsor. The arbitrator's decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable participant may have entered into in connection with the Contest. There shall be no authority for any claims to be arbitrated on a class or representative basis; arbitration can decide only the participant's and/or Sponsor's individual claims and the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated. The arbitrator shall not have the power to award punitive damages against the participant or Sponsor and the arbitrator shall not have the power to impose injunctive relief to the entrant. The Code of Procedure and other information, including a fee schedule, may be obtained from the National Arbitration Forum website (www.arb-forum.com) or by calling 800-474-2371.
If any part of these Official Rules is deemed to be invalid or otherwise unenforceable or illegal, the balance of these Official Rules shall remain in effect and shall be construed in accordance with its terms as if the invalid or illegal provision, or the invalid or illegal portion of a provision, were not contained herein.
WINNER'S LIST/OFFICIAL RULES: These Official Rules and the winner's list will be posted on the Website during the Entry Period and for at least six (6) weeks thereafter.
